Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by RMIT (“Company,” “we,” “us,” or “our”), including our website, consultation, technical support, and any related offerings (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not accept these Terms, you are not authorized to use our Services.

2. Scope of Services

We provide IT consulting, software development, networking, and related solutions. The specific services to be rendered, project scope, fees, and timeline will be detailed in one or more service agreements or statements of work, which shall be read in conjunction with these Terms.

3. Client Responsibilities

  • Accurate Information: You agree to provide current and accurate information when requesting or using our Services.

  • Collaboration: You agree to cooperate in a timely manner and provide any information, documents, or access we may need to perform our Services effectively.

4. Fees and Payment

  • Billing: For hourly work the minimum billable time is 15 minutes for remote, and 1 hour onsite. Overdue invoices are subject to a one-time interest fee of 5%.

  • Payment Methods: Payment may be made via credit card, check, or bank transfer. Payments via credit card may be made via our Client Portal at https://portal.rmitservices.net.

  • Late Payments: Overdue invoices are subject to a one-time interest fee of 5%.

5. Intellectual Property

  • Ownership: Unless otherwise agreed in writing, any materials or deliverables we create in the course of providing the Services remain our intellectual property until full payment is received.

  • License: Unless otherwise agreed, upon full payment, we grant you a non-exclusive, royalty-free license to use the deliverables for your internal business purposes.

6. Confidentiality

  • Mutual Confidentiality: We each agree to keep confidential any non-public information disclosed during the course of the Services.

  • Exceptions: Confidential information does not include information that becomes publicly available without breach, or is received from a third party without confidentiality obligations.

7. Warranties and Disclaimers

  • Service Quality: We will use reasonable care and skill in providing the Services.

  • No Guarantee: We do not guarantee that our Services will be error-free or that they will meet all of your requirements.

  • Disclaimer: Except as expressly stated, the Services are provided “as is” and we disclaim any and all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claim under these Terms shall not exceed the amount you paid us for the specific Services in question.

9. Indemnification

You agree to indemnify and hold us harmless from any and all claims, liabilities, damages, and expenses (including reasonable attorney’s fees) arising from your breach of these Terms or any misuse of the Services.

10. Termination

We reserve the right to suspend or terminate our Services at any time if you fail to comply with these Terms or any other relevant agreement. Any provisions that by their nature should survive termination (such as confidentiality, indemnification, and limitation of liability) shall remain in effect.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in New York, unless otherwise agreed in writing.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top. You are encouraged to review our Terms periodically for any changes. Your continued use of the Services after any modifications indicates acceptance of the new Terms.
